These Terms constitute an agreement between you and Nexora AI Limited (referred to as “we,” “us,” or “our”) governing your use of the Talos desktop application and the taloswork.ai website (collectively, the “Services”). By downloading, installing, or using the Services, you agree to these Terms. ## Description of the Services Talos is an AI assistant application that runs on your own computer and supports macOS and Windows. It can engage in conversations, read and write local files that you authorize, perform tasks that you confirm, and, at your option, connect to third-party large language model services. By default, conversation history and files are stored locally on your device. You may use included credits, in which case requests are routed through our gateway to model service providers and charged against those credits, or you may enter your own API key so that your device connects directly to a model service provider. ## Accounts You must register for an account to use the Services. You must provide accurate information, keep your credentials secure, and are responsible for activity under your account. If you become aware of any unauthorized use, please contact us promptly. ## Payments, Credits, and Refunds Certain features are charged on a credit or subscription basis. Applicable prices and billing methods are as displayed on the purchase page. Payments are processed by third-party payment service providers, and we do not store your bank card information. Except where otherwise required by law or stated on the purchase page, consumed credits are non-refundable. To request a refund for unused credits, contact us using the details at the bottom of this page. We will process your request within a reasonable period. ## Acceptable Use You agree not to use the Services for any of the following purposes: - violating applicable laws or regulations, or infringing the lawful rights and interests of others; - generating or distributing unlawful or fraudulent content, malware, or other harmful content; - circumventing, probing, or compromising the security or billing mechanisms of the Services; or - engaging in unauthorized resale or scraping of the Services, or large-scale automated abuse. If you breach the foregoing requirements, we may suspend or terminate the provision of the Services to you. ## Your Content and AI Output You retain ownership of the content you provide to the Services, including prompts and files. To the extent that you generate content through your use of the Services, we do not claim any rights in the resulting output. You are responsible for determining whether using generated content in any particular context is lawful and appropriate. AI output is generated automatically by models and may be inaccurate, incomplete, or biased. It does not constitute professional advice, including medical, legal, or investment advice. You should independently verify information before making important decisions. ## Intellectual Property The Talos application and website, together with the trademarks, interfaces, and code contained in them, are owned by us or the applicable rights holders. Except for the rights to use the Services expressly granted under these Terms, no rights are transferred to you. ## Third-Party Services The Services may connect to third-party model service providers, payment service providers, and third-party platforms that you choose to integrate, such as messaging tools. Those services are provided by third parties under their own terms, and we are not responsible for their availability or conduct. ## Disclaimers and Limitation of Liability The Services are provided “as is.” To the maximum extent permitted by applicable law, we do not warrant that the Services will be uninterrupted or error-free; we are not liable for any indirect loss, loss of data, or loss of profits arising from the use of the Services; and our aggregate liability is limited to the fees you actually paid during the 12 months preceding the event giving rise to the claim. Nothing in this section excludes any liability that cannot lawfully be excluded. ## Changes and Termination We may update the Services or these Terms. If we make material changes to these Terms, we will post notice on the website or in the application. Your continued use after a change constitutes acceptance of the updated Terms. You may stop using the Services and close your account at any time. ## Governing Law and Contact Information These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People’s Republic of China.
